EPBCL - Program Objectives
Law is regarded as “the last great untapped source of competitive advantage” (Downes, HBS 2004: 19). Lawyers and managers alike have traditionally viewed legal and regulatory environment as an “impediment to growth” - a constraint on doing business. Hence, there has been a lack of appreciation on the advantages of understanding the legal environment and its significant potential to improve a firm’s operations and minimizing business risks. Thus, the potential of law as a value-added business tool has been given less significance in business organizations. More importantly, the lack of integration and understanding of law in business organizations has led many corporates, both the organization and their managerial personals, being subjected to civil and penal sanctions.
EPBCL intends to provide the participants a comprehensive understanding on the legal environment in which the business, both national and international, operates. The Programme shall address the different facets of business and its operation including but not limited to setting-up of business operations, raising capital - public offers, private placement, liability, transactions in the field of JV, M&A, external commercial borrowings, private equity / venture capital investments, capital and forex market regulations, strategic management of IPRs etc. In addition, managing transnational business operations has become the mandate of today’s managers, which would involve understanding and dealing with risks in foreign investments, global trade in goods and services, international dispute resolution, and major foreign laws having implications on international business transactions. Having a reasonable understanding of the regulatory framework will help the manager/executive in designing the strategies and counter strategies for competitive advantage. More specifically, the Programme shall cover:
- Understand the normative and constraining aspects of the law
- Regulations and regulatory processes involved in setting up and operating a business.
- Sales and marketing laws of good and services
- Strategic management Intellectual Property rights – patent, copyrights, trademarks, industrial designs, business, secrets GI, etc
- Managing the international legal environment – Investment protection, trade in goods and services, trade remedies

- Introduction and Fundamentals of Business Laws and Contracts
- Dispute Resolution (National and International)
- Corporate Law and Transactions – including, Corporate Restructuring, Joint Ventures, Regulatory framework for competition
- Regulatory Framework involving Foreign Exchange transactions (domestic aspects)
- Investment Protection and Investment Law (international aspects)
- Sales and Marketing Laws
- Regulation of International Trade in Goods and Services
- Strategic management of IPRs
- Cyber law - Regulatory framework in the field of information technology.
- Campus Visit 4 days (Exams, project presentation and in-campus classes)
A balanced mix of lectures, case studies, live -corporate examples and general discussions, delivered over a highly interactive direct-to-device Video Conference interface.
Program is delivered under technical collaboration with VCNow through a Global-class direct-to-device (D2D) & classroom based Video Conference interface. The technology provides high interactivity enabling a seamless learning experience.
4 day campus visit during the end of the program involving in-campus classes, project presentation and examinations.
Working managers with an experience profile of two year or more, who are at least graduates (10+2+3) in any discipline with 50% marks. Students would be shortlisted on the basis assessment of background and motivation based on the application form submitted.
Certification, assessments & evaluation
Certificate to all eligible candidates will be awarded by IIM Calcutta.. Participants will successfully complete the program if they have received Poor grades in not more than two courses. Successful candidates will receive a Certificate of Successful Completion from IIM Calcutta. Those with requisite participation but unable to complete successfully will receive a certificate of participation.
All Examination/Evaluation shall be conducted by the Institute.
